Terms of Service
Effective May 20, 2026. These terms govern access to and use of TerpTrade's private B2B wholesale marketplace.
1. Agreement
These Terms of Service apply to TerpTrade, including the admin console, wholesaler workspace, retailer workspace, catalog, ordering, messaging, campaign, notification, analytics, import, and support tools. By accessing TerpTrade, you agree to these terms on behalf of yourself and the business or organization you represent.
2. Eligible Users
TerpTrade is for business use by approved cannabis industry participants, such as licensed wholesalers, suppliers, retailers, authorized staff, brokers, and operators. You may use TerpTrade only if you are legally permitted to act for the account you access and only in markets where your activity is authorized.
3. Compliance Responsibility
Cannabis remains subject to complex federal, state, local, and regulatory restrictions. TerpTrade provides workflow software and marketplace operations tools, but it does not provide legal, tax, accounting, transportation, payment, or regulatory advice.
4. Marketplace Role
TerpTrade is not the licensed seller, buyer, transporter, or payment processor for products listed by wholesalers unless a separate signed agreement says otherwise. Product availability, pricing, inventory, fulfillment, payment terms, invoices, taxes, manifests, and delivery obligations remain between the applicable licensed parties.
5. Accounts And Permissions
You must provide accurate account information and keep it current. Account owners are responsible for their invited users, team permissions, credentials, and activity. You may not share credentials, bypass role controls, access another account without authorization, scrape private catalog data, or use the platform in a way that compromises marketplace security or relationship controls.
6. Catalog Access And Orders
Catalog visibility is private and may depend on platform approval, license status, market region, wholesaler approval, product status, inventory rules, and other controls. Submitting a cart, message, or order request does not guarantee acceptance, fulfillment, pricing, availability, payment terms, delivery, or regulatory approval. Orders may be reviewed, modified, declined, paused, or cancelled when required.
7. Fees And Commission
TerpTrade may charge broker commissions, service fees, subscription fees, campaign support fees, payment processing costs, or other amounts described in the app, an order record, or a separate agreement.
8. Communications And Campaigns
TerpTrade may send transactional, account, compliance, support, and marketplace messages through in-app notifications, browser push, and email. Marketing or campaign communications must use approved audiences, sender identity, suppression, unsubscribe, and compliance controls.
9. User Content And Data
You retain ownership of business data, product data, messages, images, documents, and other content you submit. You grant TerpTrade the rights needed to host, process, display, transmit, analyze, secure, and back up that content to operate the platform.
